It has been ~2.5years since YZJFH (Finance Holdings) split from its parent YZJSB (Ship Building). And in the next 2 weeks, YZJMD (Marine Development) will again split from YZJFH. The introductory document was recently released and I finally had a chance to review it. Some notes:

(1) Raising a placement of ~5.2mil at ~NAV. This is much smaller than previously imagined by OPMIs. So is it because there isn't enough demand? Or simply Chairman Ren is just doing a token rise and helping to signal/anchor what YZJMD should trade at? Big Grin

(2) YZJMD will have a fleet of 76 vessels (wholly/co-owned) at avg age of 7 years. A vessel's end of life is ~25-30years, so the avg fleet age is young. The business of YZJMD will be maritime investments, non-maritime investments and cash mgt. Based on FY24/1H25, YZJMD accounted for 44-46% of the original combined entity's PATMI. It will follow the same dividend policy, ie. paying out at least 40% of NP.

(3) Balance sheet. This is probably the more interesting part. Based on 1H25 FS, YZJMD will take (a) 45% of the cash, (b) 92% of the financial assets at FVTPL, © 6% of DI (all are current), (d) 50% of JV/associate, (e) All the receivables+PPE (maritime assets/charter leases) --> In summary, takes away 53% of the equity, or ~59cents sgd per share.

(4) CMS license (GEM Asset Management) is moved to YZJMD (due to Maritime Fund) together with some of the non-maritime assets. There will be some overlap between YZJFH and YZJMD but the overlaps will become passive vehicles and wind down in the next 5-7years. This explains why YZJMD is taking some of the associate and FVTPL assets when much of these assets are less related.

YZJMD has been separately listed for ~3 weeks now. I thought it would be interesting to note down what has happened.

(1) IIRC, shareholders had an instantaneous +10% in the market value of their holdings post split. Apparently, when the pie is divided by 2, the 2 half pieces become bigger than half each. Is it closer to the psychological bias of bonus issues (which is irrational) or is it more rational forces at work here? Smile

(2) Since split, YZJFH has traded at a discount to NAV while YZJMH has traded at a premium to NAV. The Baltic Dry Index (BDI) has been on a tear recently and so I suppose that helped towards contributing to YZJMH's optimism. But at ~71cents, YZJMH is now at a 20% premium to book value of 1H25 financials (NAV~59cents SGD)! I suppose shareholders are very welcoming towards Chairman Ren (now YZJMH's Executive Chairman and CEO)'s ability to make money.

In general, the Share Buyback (SBB) Mandate is packaged together with the AGM and YZJM's first AGM will be in less than 3 months' time. Therefore, this announcement for an EGM to approve a SBB mandate suggest that Chairman Ren intends to get the approval earlier before the actual AGM (est mid April). You have to give it to him for his decisiveness.

Chairman Ren has kick started his SBB long march last week with 2 purchases (spent ~850k on 1.4mil shares). Noticeably, the purchases are at prices close to FY25's NAV.

In contrast, sibling YZJFH is trading at slightly >50% discount to FY25 NAV but its mgt does not seem to be swayed from their earlier position, ie. to focus the post split entity which has less capital, on opportunities that they are seeing in China. On another hand, it can also be argued that YZJMH itself is also a smaller entity despite been ~15-20% bigger than YZJFH post split.

IMO there is probably no right or wrong here per say with these contrasting actions since these are individual teams managing different sources of capital (YZJMH: offshore/USD, YZJFH: onshore/RMB) and having different focus. However the 2 of them do have similar capital structures (largely debt free/cash rich close end investment funds), so it will be interesting to contrast their fortunes down the road in maybe 1-2years' time.
